Terms of Service

1. Services Description

Mondragon Portable Toilet L.L.C. provides computer systems design and related services, including but not limited to:

• Computer integrated systems design
• Professional, scientific, and technical consulting services
• Technical services for computer systems
• System integration and optimization
• Technical support and maintenance

All services are provided subject to these Terms and any additional agreements entered into between you and Mondragon Portable Toilet L.L.C.

3. Use of Services

3.1 Eligibility

By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3.2 Account Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use strong passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mondragon Portable Toilet L.L.C., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms.

4.3 Client Deliverables

Upon full payment of all fees, clients receive ownership of deliverables specifically created for them under a signed agreement. However, we retain ownership of:

• Pre-existing intellectual property incorporated into deliverables
• General methodologies, frameworks, and tools used in service delivery
• Aggregated data and anonymized analytics

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

• Systematically retrieving data or other content to create a collection, compilation, database, or directory without written permission
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Disparage, tarnish, or otherwise harm us and/or the Services
• Use any information obtained from the Services to harass, abuse, or harm another person
• Make improper use of our support services or submit false reports of abuse or misconduct
• Use the Services in a manner inconsistent with any applicable laws or regulations
• Engage in unauthorized framing of or linking to the Services
• Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services

6. Service Fees and Payment

6.1 Pricing

All service fees will be communicated clearly in our proposals and agreements. Prices are subject to change with notice to existing clients for ongoing services.

6.2 Payment Terms

Payment terms will be specified in individual service agreements. Generally, we require:

• A deposit before project commencement
• Milestone payments for larger projects
• Final payment upon project completion

6.3 Late Payment

Late payments may result in suspension of services and accrual of interest at the maximum rate permitted by law.

7. Confidentiality

7.1 Confidential Information

Each party acknowledges that it may receive certain confidential and proprietary information of the other party. "Confidential Information" means any and all non-public, confidential, or proprietary information disclosed by either party.

7.2 Protection of Confidential Information

Each party agrees to hold all Confidential Information in strict confidence and not to disclose such information to any third parties except as required for the performance of services.

7.3 Data Security

We implement industry-standard security measures to protect client data. However, no method of transmission over the Internet or electronic storage is 100% secure.

8. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL MONDRAGON PORTABLE TOILET L.L.C., ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES.

THIS INCLUDES ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Mondragon Portable Toilet L.L.C., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Term and Termination

10.1 Term

These Terms shall remain in full force and effect while you use the Services.

10.2 Termination by Us

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation.

10.3 Termination by You

You may terminate your account by contacting us at support@mondr.shop. Termination of ongoing projects is subject to the terms of individual service agreements.

10.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in Alamosa County, Colorado.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with any policies or agreements referenced herein, constitute the entire agreement between you and Mondragon Portable Toilet L.L.C. regarding the Services.

13.2 Waiver

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition.

13.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
